General Terms and Conditions for Goods and Services
1. Scope
- The following terms and conditions apply to all deliveries and services, including information and consulting, provided by PSA Technology GmbH (hereinafter referred to as “PSA”). They apply to all future deliveries and services provided to the customer, even if no further explicit reference is made to them at the time the contract is concluded.
- These Terms and Conditions apply exclusively. PSA will recognize any supplementary or conflicting terms and conditions of the customer only to the extent that it expressly agrees to them in writing. The performance of deliveries or services by PSA does not constitute such consent.
- All offers made by PSA are subject to change without notice, unless they specify a binding period. The contract is not concluded until PSA confirms the customer’s order in writing or fulfills the order for delivery or services without separate confirmation.
2. Drawings and descriptions
- If one party provides the other party with drawings and technical documentation regarding the subject matter of the delivery or its manufacture, either before or after the conclusion of the contract, such materials shall remain the property of the party providing them.
- If a party receives drawings, technical documents, or other technical information, it may not use them for any purpose other than that for which they were provided without the consent of the party providing them. They may not be used for other purposes, copied, reproduced, handed over to third parties, or disclosed without the consent of the party providing them.
- PSA shall provide the customer, free of charge, with instructions and drawings no later than the time of delivery, enabling the customer to install, commission, maintain, and service the delivered item. The agreed number of such instructions shall be provided, but at least one copy. PSA is not obligated to provide workshop drawings for the delivered item or spare parts.
3. Prices and Payments
- All prices are net prices ex works (Incoterms 2020).
- PSA’s claims become due upon the customer’s receipt of the invoice. Unless otherwise agreed, one-third of the purchase price is due upon conclusion of the contract and one-third after PSA notifies the customer that the goods are ready for shipment. The final payment is due upon delivery. Payments must be made without deduction within 10 days of delivery or the provision of services by PSA and receipt of the invoice.
- The customer is entitled to set-off or retention only if the customer’s counterclaims have been legally established, are undisputed, or have been acknowledged by PSA.
- If, after the conclusion of the contract, PSA becomes aware of a material deterioration in the customer’s financial circumstances (e.g., adverse credit reports or subsequent late payments), PSA shall be entitled to perform outstanding deliveries or services only against advance payment or adequate security, in which case any delivery or performance deadlines shall be extended accordingly. Outstanding receivables from goods or services shall become due immediately.
- PSA is entitled to terminate the contract if
- the customer stops making payments, or
- the customer becomes insolvent or overindebted, or
- an application is filed to commence insolvency proceedings against the customer’s assets, or
- if insolvency, receivership, receivership, or similar proceedings are initiated against the customer. Section 321 of the German Civil Code (BGB) remains unaffected.
4. Assignment of Claims
The assignment of a claim by the customer against PSA is permitted only with PSA’s written consent. Section 354a of the German Commercial Code (HGB) remains unaffected.
5. Lieferung und Gefahrübergang
- Agreed deadlines for PSA’s deliveries and services shall not begin to run until agreement has been reached on all details of performance, the customer has fulfilled all necessary obligations to cooperate—in particular, has provided any information, documents, or materials required from the customer—and has made any advance or down payments due. Delays in cooperation or requests for changes by the customer shall result in a reasonable extension of the deadline.
- Unforeseeable and unavoidable events (e.g., war, war-like conditions, shortages of energy or raw materials, sabotage, strikes), as well as any other operational disruptions or governmental interventions for which PSA is not responsible, shall release PSA from its obligation to deliver and perform for the duration of such events, even if they occur during an existing delay. Deadlines shall be extended accordingly to a reasonable extent. This also applies to delayed or improper deliveries or services by a PSA supplier for which PSA is not responsible.
- The place of performance is the delivery location as defined in Incoterms 2020. The risk of accidental loss or accidental deterioration of the goods passes to the customer upon delivery from the place of performance. This also applies in the event of partial deliveries or if PSA provides additional services (e.g., shipping arrangements or payment of shipping costs).
- PSA ist zu Teillieferungen oder -Leistungen berechtigt, soweit PSA diese dem Kunden unverzüglich mitteilt und die Restmenge in angemessener Frist nachliefert oder leistet und dieses dem Kunden zumutbar ist.
- Verzögert sich die Lieferung aus vom Kunden zu vertretenden Gründen, so trägt er die Kosten für das erfolglose Angebot sowie für die weitere Aufbewahrung im Lieferwerk oder einem anderen Ort nach Wahl von PSA. In diesen Fällen geht die Gefahr des zufälligen Untergangs oder der zufälligen Verschlechterung mit Meldung der Versandbereitschaft auf den Kunden über.
6. Software Use
- To the extent that software is included in the scope of delivery, the customer is granted a non-exclusive right to use the delivered software, including its documentation. It is provided for use on the specific item of delivery for which it is intended. Use of the software on more than one system is prohibited.
- The customer may reproduce, modify, translate, or convert the software from object code to source code only to the extent permitted by law (Sections 69a et seq. of the German Copyright Act). The customer agrees not to remove or alter the manufacturer’s information—in particular copyright notices—without our prior express consent.
- Alle sonstigen Rechte an der Software und den Dokumentationen einschließlich der Kopien bleiben bei uns bzw. beim Softwarelieferanten. Die Vergabe von Unterlizenzen ist nicht zulässig.
7. Retention of Title
The delivered goods shall remain the property of PSA until full payment has been made, provided that such retention of title is valid under applicable law. At PSA’s request, the customer must provide PSA with full support in its efforts to protect PSA’s ownership rights to the delivered goods in the relevant country. The provisions of Section 5 shall remain unaffected by this retention of title.
8. Intellectual Property Rights and Confidentiality
- PSA behält sich an sämtlichen dem Kunden übermittelten oder überlassenen vertraulichen Unterlagen das Eigentum und an den darin enthaltenen Informationen das Urheberrecht und sonstige gewerbliche Schutzrechte vor.
- The Customer agrees to keep confidential all technical and business information that comes to its knowledge in the course of performing the order—including, and particularly, information concerning the Customer’s respective clients and the contractual relationship with them — and to make such information accessible exclusively to its employees or other agents involved in the performance of the order, and to impose the same confidentiality obligation on such third parties, provided that this obligation shall remain in effect even after the termination of the respective employment or other contractual relationship. The confidentiality obligation shall apply for a period of 2 years from the date of delivery or the completion of work on an order, whereby in the latter case the date of the acceptance declaration shall be decisive.
9. Haftung
- Claims for damages by the customer, regardless of the legal basis, including in particular claims arising from a breach of obligations under the contractual relationship or from tort, are excluded.

- PSA or one of PSA’s agents is found to have acted with intent or gross negligence, or
- PSA is liable for culpable injury to life, limb, or health caused by PSA or an agent acting on its behalf, or
- PSA or a vicarious agent of PSA breaches a material contractual obligation, the fulfillment of which the customer is particularly entitled to rely upon, through slight negligence. In the event of a slightly negligent breach of material contractual obligations and in the event of gross negligence on the part of such employees and other vicarious agents who are not executive officers, PSA shall be liable only to the extent of the damage that is typically foreseeable, taking into account all relevant and recognizable circumstances.
- The above provisions do not entail a shift in the burden of proof to the detriment of the customer.
10. Jurisdiction and Governing Law
Gerichtsstand für alle Streitigkeiten aus oder in Zusammenhang mit dem Vertrag ist das zuständige Gericht am Sitz unserer Gesellschaft. PSA kann ihre Ansprüche auch bei den Gerichten des allgemeinen Gerichtstandes des Kunden geltend machen. Ein etwaiger ausschließlicher Gerichtsstand bleibt unberührt. Es gilt ausschließlich deutsches Recht unter Ausschluss des Kollisionsrechts und des UN-Kaufrechts (CISG).
